Terms of Service
The agreement between your organisation and Amigo Smart Tech for the use of DigiSignWall.
Last updated:
1. Who we are and this agreement
DigiSignWall is operated by Amigo Smart Tech, Plot No 31, Thirumala Hills, Mahadevapuram, Gajularamaram, Hyderabad – 500055, Telangana, India (“we”, “us”, “our”). These Terms of Service (the “Terms”) form a binding agreement between us and the person or organisation that creates an account or uses the Service (“you”, the “Customer”).
You accept these Terms by ticking the acceptance box when you sign up, or by using the Service. If you accept on behalf of an organisation, you confirm that you have authority to bind it, and “you” means that organisation. If you do not agree, do not use the Service.
If you have signed a separate written agreement with us (for example for a Custom plan), that agreement takes priority over these Terms where the two conflict. Our Privacy Policy and Cookie Policy explain how we handle personal data and cookies.
2. Definitions
- Service — the DigiSignWall cloud platform, including the admin console at app.digisignwall.com, the web player, the Android and TV player apps, the APIs, and related support.
- Customer Content — any images, video, text, playlists, layouts, schedules, data feeds and other material that you or your users upload to, create in, or connect to the Service.
- Screen or Player — a display device paired with your account that runs our player software.
- Authorised Users — your employees and contractors whom you invite to your account.
- Plan — the subscription tier you have chosen, with the price and limits shown on our pricing page or in your account at the time you subscribe.
- AI Assistant — the optional feature that generates or edits layouts and content suggestions from your instructions.
3. Accounts and eligibility
The Service is designed for business and organisational use. You must be at least 18 years old and able to enter into a binding contract to create an account. You must not use the Service if you are barred from doing so under applicable law.
You must give accurate sign-up information and keep it up to date. We ask you to confirm your email address with a one-time code or link before the account can be used. You are responsible for keeping passwords confidential, for everything done under your account (including by your Authorised Users), and for making sure your Authorised Users follow these Terms. Tell us promptly at emailus@digisignwall.com if you suspect unauthorised access.
4. Acceptable use
Screens running DigiSignWall are often in public or shared places, so you are responsible for what they show. You must not use the Service, or allow it to be used, to:
- display, store or distribute content that is unlawful, defamatory, obscene, hateful, harassing, fraudulent or misleading, or that promotes violence or illegal activity;
- display content that infringes anyone’s copyright, trademark, privacy, publicity or other rights, or that you do not have the licence to show publicly (including music, video, fonts and broadcast content);
- break advertising, consumer-protection, health, alcohol, tobacco or other sector rules that apply to content shown in your location;
- access, probe or attempt to access another customer’s account, content or screens, or to bypass tenant separation, authentication, rate limits or plan limits;
- test, scan or attack the security of the Service, except under our responsible disclosure policy;
- upload malware, or interfere with or overload the Service or its infrastructure;
- reverse engineer, decompile or copy the software, except to the extent the law expressly allows despite this restriction;
- resell, sublicense or provide the Service to third parties as a service bureau, unless we have agreed this in writing; or
- use the Service to send spam, or to collect personal data about people without a lawful basis and any notices the law requires.
We may remove or disable access to content, or suspend a Screen, that we reasonably believe breaches this section or the law, including following a complaint or a lawful order. Where practical, we will tell you first.
5. Your content
You keep all rights in your Customer Content. You grant us a worldwide, non-exclusive, royalty-free licence to host, copy, store, transcode, resize, cache and transmit Customer Content only as needed to provide, secure and support the Service for you, including delivering it to your Screens. This licence ends when the content is deleted from the Service, except for copies held in backups until they expire.
You are solely responsible for your Customer Content: for its accuracy and legality, and for holding every right and licence needed to upload it and display it publicly. We do not review Customer Content before it is displayed and are not responsible for it.
We do not sell Customer Content, show it outside your account, or use it to train AI models.
Where Customer Content or data collected through your Screens includes personal data, you are the controller (or data fiduciary) of it and we process it on your behalf, as explained in our Privacy Policy. You are responsible for having a lawful basis for it and for giving any notice the law requires to people who see or interact with your Screens.
6. The AI Assistant
The AI Assistant is optional. When you use it, your instructions and the content you choose to include (such as layout data, media references and screenshots) are sent to third-party AI model providers solely to generate the response you asked for.
- AI output is a suggestion. It can be inaccurate, incomplete or unsuitable, and similar output may be generated for other customers. You can edit everything it produces.
- You must review AI output before publishing it to a Screen. You are responsible for what you publish, including checking facts, prices, legal claims and third-party rights.
- We do not guarantee that AI output is accurate, original or free of third-party intellectual property rights. As between you and us, you own the output you publish, to the extent any rights exist in it.
- Do not include sensitive personal data, confidential information you are not allowed to share, or content that breaches section 4 in your instructions.
- AI usage may be subject to fair-use or rate limits, and the feature may be changed or withdrawn.
7. Plans, fees and billing
Paid Plans are billed in advance, in US dollars, at the price shown when you subscribe. Payment is processed by Stripe; card details are handled by Stripe and are not stored on our systems. Subscriptions renew automatically at the end of each billing period until cancelled.
Taxes. Prices exclude taxes such as GST, VAT and similar duties unless stated otherwise. Where we are required to collect them, they are added to your invoice. You are responsible for any taxes you must self-assess, and for any bank or currency-conversion charges.
Failed payments. If a payment fails, Stripe will retry it and we may notify you. If payment is still not received, we may move your account to the Free plan or suspend paid features after reasonable notice.
Price changes. We may change Plan prices. We will give you at least 30 days’ notice by email before a new price applies to your subscription, and the change will take effect from your next renewal. If you do not agree, you can cancel before the renewal date.
Trials and promotions. We may offer trials, discounts or promotional pricing. Their length and terms are shown when they are offered and apply only for the stated period.
8. Cancellation and refunds
You can cancel a paid Plan at any time from the Billing page of your account. Cancellation takes effect at the end of the current billing period; you keep paid features until then and are not charged again. After that the account moves to the Free plan, where available, or is closed.
Fees are non-refundable, and we do not give refunds or credits for partial billing periods, unused Screens or downgrades, except where the law requires it or we agree otherwise in writing. Nothing in these Terms affects any statutory rights you have that cannot be excluded.
9. Plan limits and the Free plan
Each Plan has limits, such as the number of Screens, users, storage and features. If you reach a limit, you will not be able to add more until you upgrade or remove items. If your account moves to a Plan with lower limits (for example after cancellation or a failed payment), features or Screens above the new limits may be restricted or stop playing until you bring usage within the limits or upgrade.
The Free plan is provided free of charge and without any availability commitment. We may change its limits or features, or discontinue it, with at least 30 days’ notice by email. We may close Free accounts that have been inactive for an extended period after giving notice by email.
10. Suspension and termination
You may stop using the Service at any time, and can ask us to close your account by emailing emailus@digisignwall.com from the account owner’s address.
We may suspend or terminate your access, in whole or in part, if you materially breach these Terms and do not fix the breach within 14 days of notice; if you fail to pay fees due; if your use creates a security risk or could harm the Service, other customers or third parties; or if the law or a competent authority requires it. Where the risk is serious or immediate, we may suspend without prior notice and will tell you as soon as practical afterwards. We may also end the Service for all customers by giving at least 60 days’ notice.
11. Your data on termination
Before your account closes, you can download your media files and analytics reports from the admin console, and you can ask us at emailus@digisignwall.com for an export of your other account data in a commonly used format. After the account is closed or terminated, we keep your Customer Content and account data for 30 days so that it can be restored or exported on request, and then delete it from our live systems. Copies in backups are overwritten in the normal backup cycle (see the Privacy Policy). We may keep limited records longer where the law requires, such as invoices and tax records.
12. Availability and support
We aim to keep the Service available around the clock and target high availability, but we do not promise that it will be uninterrupted or error-free. We may carry out planned maintenance, and will try to schedule it at low-traffic times and give advance notice of significant downtime. Players cache your latest schedule and media on the screen device and keep playing through network outages, including after a restart, but content changes you make will not reach a Screen until it reconnects.
No service level agreement (SLA) or service credits apply unless they are set out in a signed Custom agreement. Availability does not cover problems caused by your devices, networks, power, third-party apps or services, or use that breaches these Terms.
Support is provided by email and through the support section of the admin console, on a reasonable-efforts basis unless a Custom agreement says otherwise.
13. Third-party services
The Service relies on and connects to third-party services, such as payment processing (Stripe), maps (Google Maps), weather and other data feeds, email and SMS delivery, and AI model providers. Your use of third-party content, integrations or devices may be subject to their own terms. We are not responsible for third-party services we do not control, but we choose our providers with care and require those that process personal data for us to protect it.
14. Our intellectual property
We and our licensors own the Service, the software, and all related intellectual property. Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable right for your Authorised Users to use the Service, and to install the player software on your Screens, for your internal business purposes during your subscription. If you send us feedback or suggestions, we may use them without obligation to you.
15. Confidentiality
Each party will keep the other’s non-public business, technical and financial information confidential, use it only for this agreement, and protect it with reasonable care. This does not apply to information that is or becomes public through no fault of the receiving party, was already known to it, is independently developed, or must be disclosed by law (in which case the receiving party will give notice where lawful). Customer Content is your confidential information.
16. Warranties and disclaimers
Each party confirms that it has the authority to enter into this agreement. You confirm that your Customer Content and your use of the Service comply with these Terms and the law.
Otherwise, and to the fullest extent permitted by law, the Service, the player software and AI output are provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory, including warranties of merchantability, satisfactory quality, fitness for a particular purpose, accuracy and non-infringement. We do not warrant that the Service will work with every device or display, or that it will be uninterrupted, secure or error-free.
17. Limitation of liability
To the fullest extent permitted by law:
- neither party is liable for any indirect, incidental, special, consequential or punitive loss, or for loss of profits, revenue, business, goodwill or anticipated savings, however it arises; and
- each party’s total liability arising out of or relating to this agreement, in contract, tort (including negligence) or otherwise, is limited to the total fees you paid us for the Service in the 12 months before the event giving rise to the claim. For accounts on the Free plan, that limit is USD 100.
These limits do not apply to your obligation to pay fees, to your liability under section 18, or to liability that cannot be limited by law, including liability for death or personal injury caused by negligence, or for fraud.
18. Indemnity
You will defend and indemnify us, our affiliates and our personnel against any third-party claim, and the resulting losses, damages, fines and reasonable legal costs, arising from your Customer Content, your use of the Service in breach of these Terms or the law, or content displayed on your Screens. We will notify you promptly of the claim, let you control its defence and settlement (you may not settle a claim that requires an admission by us without our consent), and give reasonable help at your cost.
19. Changes to the Service and these Terms
We improve the Service continually and may add, change or remove features. If a change materially reduces core functionality of a paid Plan you rely on, we will give reasonable notice.
We may update these Terms. We will post the new version on this page with a new “Last updated” date and, for material changes, email the account owner at least 30 days before they take effect, unless the change is required sooner by law or to address security. If you do not agree to the changes, you can cancel before they take effect; continuing to use the Service afterwards means you accept them.
20. General
Governing law and courts. These Terms and any dispute arising from them are governed by the laws of India. Subject to any mandatory rights you have under the laws of the country where you are established, the courts at Hyderabad, Telangana, India have exclusive jurisdiction. Before starting proceedings, each party will try in good faith to resolve the dispute through discussion between senior representatives for at least 30 days.
Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, such as natural disasters, power or internet failures, failures of third-party hosting, war, or government action (this does not excuse payment obligations).
Assignment. You may not transfer this agreement without our written consent. We may transfer it to an affiliate or to a successor in a merger, acquisition or sale of assets, and will tell you if we do.
Notices. We will send notices to the email address of your account owner. You can send notices to emailus@digisignwall.com.
Other terms. If any provision is found unenforceable, the rest remains in effect. A failure to enforce a right is not a waiver of it. These Terms (with any order form or signed agreement) are the entire agreement between the parties on their subject matter. Sections that by their nature should survive termination (including 5, 11 and 15 to 20) survive it. Nothing in these Terms creates a partnership, agency or employment relationship.
21. Contact and grievances
Questions about these Terms: emailus@digisignwall.com, or write to Amigo Smart Tech, Plot No 31, Thirumala Hills, Mahadevapuram, Gajularamaram, Hyderabad – 500055, Telangana, India.
In accordance with the Information Technology Act, 2000 and the rules made under it, complaints about content or use of the Service can be sent to our Grievance Officer at emailus@digisignwall.com (subject “Grievance”). We will acknowledge a complaint within 24 hours and aim to resolve it within 15 days of receipt.
